Terms and Conditions of Service

These Terms and Conditions (the "Terms") form a binding agreement between you and Moradas and govern your access to and use of Moradas's services, including the mobile application, backend services, hardware access controllers and marketing website (collectively, the "Service"). These Terms are issued under the Mexican Federal Consumer Protection Law, the Code of Commerce, the Federal Civil Code and other applicable Mexican law.
This English version is a convenience translation. The authoritative version is in Spanish; in the event of any discrepancy, the Spanish version prevails.
1. Acceptance
By accessing or using the Service you agree to be bound by these Terms and by our Privacy Notice. If you do not agree, do not use the Service.
If you use the Service on behalf of a legal entity (such as a property management company, homeowners' association or other entity), you represent that you have authority to bind that entity and that it agrees to these Terms.
2. Eligibility
You must be of legal age (at least 18 years old) and have legal capacity under the Federal Civil Code to enter into contracts. Moradas provides security-related services; parents or legal guardians are responsible for any use of the Service by minors under their care, including granting access to third parties or issuing visitor passes.
3. The Service
Moradas is a property and community management platform. The Service may include access control, visitor pass management, communications, billing records, facility management, community features and guard workflows.
Features may vary by property, community, configuration or subscription plan. We may modify, add or discontinue features at any time, making reasonable efforts not to materially impair features you have contracted.
4. Accounts and authentication
A. Authentication
Moradas authenticates users by sending a one-time code (OTP) to your phone number via SMS or messaging services. You are responsible for maintaining control of your phone number and keeping your device secure.
B. Account responsibility
You agree to:
- Provide true, accurate and up-to-date information.
- Not share your credentials or allow unauthorized third parties to use your account.
- Notify us immediately if you suspect unauthorized use of your account, writing to [email protected].
5. Information submitted by Administrators
If you are an administrator or authorized staff member of a property or community, you may add, update or manage records about third parties (residents, personnel, guards) in the Service, including personal data.
By doing so, you represent and warrant that:
- You have the legal authority and consents required under the LFPDPPP to submit such information to Moradas, including, where applicable, approval by the condominium assembly, the management board or the community's governing body for the use of the Service and the processing of personal data within it.
- You are solely responsible for the accuracy of that information and for compliance with applicable laws.
- You will deliver the applicable privacy notices to the individuals whose data you submit.
Moradas processes that information under the administrator's instructions, as a data processor under the LFPDPPP, and is not responsible for the legality or accuracy of data submitted by administrators.
6. Hardware access controllers
Some deployments of the Service include controllers installed at doors, gates or barriers ("Controllers").
- Installation and physical security: Controllers are installed and physically secured by the property, community or its contractors, under their sole responsibility. You must comply with all applicable rules, regulations and safety requirements for installation and use.
- Connectivity: Controllers require network connectivity to operate. Certain features may offer limited offline functionality, but availability and reliability are not guaranteed.
- No guarantee of security outcomes: Moradas provides tools for access management and auditing. We do not guarantee that the Service will prevent unauthorized entry, crime, loss, damage or injury. Physical security remains the responsibility of the property or community.
7. User content
The Service may allow you to submit content such as messages, announcements, documents, images, or posts to community walls and forums ("User Content"). You are responsible for your User Content. You represent and warrant that you have all the rights required to submit it and that it is not unlawful, defamatory, offensive, obscene, threatening, discriminatory, nor does it infringe any third party's copyright, trademark, privacy, honor or image rights, or any other applicable law or regulation, including these Terms.
By submitting User Content, you grant Moradas a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce and display such content solely to operate and provide the Service to you and the intended recipients within your property or community.
We may remove or restrict User Content we believe violates these Terms, applicable law or that threatens the safety or integrity of the Service.
8. Acceptable use
You agree not to:
- Use the Service for unlawful, harmful or abusive purposes.
- Bypass access controls, authentication mechanisms or rate limits.
- Gain unauthorized access to accounts, communities, Controllers or networks.
- Interfere with or disrupt the Service, including through automated requests, scraping or denial-of-service attacks.
- Reverse engineer, tamper with, disable or damage Controllers or other hardware, except as expressly authorized.
- Harass, threaten, defame or discriminate against others through the Service.
- Submit malicious code, viruses or other harmful content.
We may suspend or terminate accounts that violate these Terms.
9. Visitor passes and invitations
If the Service allows you to create visitor passes:
- You are responsible for issuing passes only to individuals you are authorized to invite.
- You are responsible for the information included in passes (name, phone, etc.).
- Passes may expire, be limited to a certain number of uses, or be revoked.
Sharing passes using third-party messaging tools is governed by the terms of those third parties.
10. Community features
Community features may include invitations, member verification, reports and moderation tools. You agree not to abuse these features (for example, filing false reports or using invitations for spam). Community administrators and Moradas may limit features, suspend accounts or remove members to protect safety and integrity.
11. Billing records between residents and communities
The Service may allow administrators to configure fees, record payments and generate statements.
- Record-keeping tool: the Service is a record-keeping and management tool. Moradas does not itself collect or process fees owed between residents and their property or community, nor does it act as a mediator in disputes between them.
- Responsibility: financial obligations between residents and their property or community are governed by the contractual relationship between them under the applicable state-level Condominium Property Regime Law, without Moradas's involvement.
- Review: you should periodically review statements and promptly report any inaccuracies.
12. Subscription, pricing and payments to Moradas
A. Contracting
Properties, communities or their administrators may contract subscription plans to access certain Service features. Features, pricing, billing cycles and applicable conditions are those set forth in the order, contract or pricing page in effect at the time of contracting.
B. Pricing and taxes
Prices are expressed in Mexican pesos (MXN) and, unless expressly stated otherwise, do not include Value Added Tax (IVA), which will be invoiced in accordance with Mexican tax law. We issue Digital Tax Receipts over the Internet (CFDI) pursuant to the Federal Fiscal Code.
C. Payment processing
Payments are processed by Stripe Payments México, S. de R.L. de C.V. or other processors we designate. By contracting, you additionally agree to the terms of the applicable processor. Moradas does not store your full card data.
D. Renewal, cancellation and refunds
- Plans renew automatically at the end of each cycle, unless cancelled at least 5 calendar days before the start of the next cycle by email to [email protected].
- Amounts already paid for the current cycle are non-refundable, except as required by the Mexican Federal Consumer Protection Law and other mandatory public-order regulations.
- Non-payment may result in suspension or termination of access to paid features.
13. Privacy
The processing of your personal data is described in our Privacy Notice.
14. Intellectual property
Moradas and its licensors hold all rights, title and interest in the Service, including software, firmware, hardware designs, trademarks and distinctive signs. The trademark "Moradas App" is registered with the Mexican Institute of Industrial Property (IMPI) under registration IMPI 2416686. Nothing in these Terms transfers any intellectual property rights to you except the limited license described below.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable and revocable license to use the Service for its intended purpose.
15. Third-party services
The Service may integrate with third-party services (messaging providers, push notification services, sharing tools, etc.). We are not responsible for those services; your use is governed by the terms and policies of each third party.
16. Suspension and termination
We may suspend or terminate your access to the Service if:
- You breach these Terms.
- It is required by law, a competent authority, or to protect the security of the Service or third parties.
- The administrator of your property or community requests it.
You may stop using the Service at any time. To request account deletion, see our Privacy Notice.
Provisions that by their nature should survive termination will survive, including sections 7 (User Content license), 14 (Intellectual Property), 17 to 19 (Disclaimers, Limitation and Indemnification) and 20 (Governing Law and Jurisdiction).
17. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MORADAS DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE AGAINST EVERY THREAT, OR THAT CONTROLLERS OR OTHER HARDWARE WILL OPERATE WITHOUT FAILURE IN ALL CONDITIONS.
The foregoing does not restrict any rights that the Mexican Federal Consumer Protection Law recognizes as non-waivable in favor of the consumer.
18. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MORADAS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, NOR FOR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL ARISING FROM OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE.
MORADAS'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CAUSE RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS ACTUALLY PAID BY YOU TO MORADAS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) TWO THOUSAND MEXICAN PESOS ($2,000.00 MXN).
The limitations in this section do not apply to liability that cannot be limited or excluded by law, including willful misconduct or gross negligence.
19. Indemnification
You agree to indemnify, defend and hold Moradas harmless from any claim, liability, damage, loss or expense (including reasonable attorneys' fees) arising from:
- Your use of the Service.
- Your User Content.
- Your breach of these Terms or applicable law.
- Your installation, use or misuse of Controllers or other hardware.
- Information you have submitted about third parties (including as an administrator).
20. Governing law and jurisdiction
These Terms are governed by the laws of the United Mexican States. For the interpretation, performance and enforcement of these Terms, you and Moradas expressly submit to the jurisdiction of the competent courts of Puebla, Puebla, México, waiving any other jurisdiction that may correspond by reason of present or future domicile, without limiting the rights granted to consumers under the Mexican Federal Consumer Protection Law.
21. Consumer protection (PROFECO)
Under the Mexican Federal Consumer Protection Law, you may file complaints or claims with the Federal Consumer Protection Agency (PROFECO): www.gob.mx/profeco, consumer hotline +52 55 5568 8722 / 800 468 8722.
22. Authoritative version
These Terms are originally issued in Spanish, the language in which they have legal effect. Translations are provided for convenience. In the event of any discrepancy, the Spanish version prevails.
23. General provisions
- Severability: if any provision is found invalid or unenforceable, the remaining provisions continue in full force and effect.
- Entire agreement: these Terms, together with the Privacy Notice and any applicable order or subscription agreement, constitute the entire agreement between you and Moradas regarding the Service.
- Assignment: you may not assign these Terms without our prior written consent. Moradas may assign these Terms in connection with a reorganization, merger or sale of assets.
- Waiver: our failure to enforce any provision does not constitute a waiver.
- Force majeure: Moradas is not liable for failures or delays caused by circumstances beyond our reasonable control, including natural disasters, government acts, internet or telecommunications failures, or power outages.
- Electronic communications: you consent to receive communications from Moradas by electronic means and acknowledge that notices and documents delivered by such means satisfy any legal requirement that communications be in writing.
- Modifications: we may modify these Terms. Where changes are material, we will notify you at least 15 calendar days before they take effect by a reasonable means (email, in-app notification or website notice). Continued use of the Service after the effective date constitutes your acceptance.
